Agreements will become effective on the date of Client’s acceptance of BTB ENT LLC's Proposal.

BTB ENT LLC will provide the Client with the services set forth pursuant to the time frame specified in the Proposal or if no schedule is specified, within a reasonably timely manner.

Clients acknowledge and agree that BTB’s timely and professional provision of services is solely dependent on and subject at all times to Client’s cooperation and timely provision of all content and materials necessary for the completion of Services/Projects including but not limited to online passwords, personal and/or company identification documents.

After 90 days projects or pre-paid sessions are considered abandoned if a client is

non-responsive or non-compliant to the terms set herein. Any monies, deposits or

pre-payments collected from "abandoned projects" will be absorbed by BTB ENT LLC. Abandoned Projects are non-refundable, non-transferrable and cannot be used as a site credit towards any of our products or services. Clients seeking to continue abandoned projects must submit a new deposit or pre-payment to schedule a new session.

As compensation for services, Clients will pay BTB ENT LLC the fees as set forth in their Proposal. Fees as set forth in the Proposal are exclusive of any taxes, assessments or other governmental charges.

Acceptable Forms of Payment are Credit/Debit cards, PayPal, Venmo, Square, Cash APP, Apple Cash, Apple Pay, Cash or Company Check (subject to a 10 day clearance period). Payments are collected before any work is performed. Session overages will be added onto the existing invoice and shown as a remaining balance that is due immediately to be paid within 3 days following submission of an invoice. BTB ENT LLC uses a clock in app system, (HOME-BASE), to ensure accuracy of time during all sessions. Outline of work performed shall be included within Client correspondence (text messages, emails, conference calls and invoices). In the event that Client fails to pay within 30 days of being due, BTB ENT LLC may charge penalty interest of 6% per month or the greatest amount permitted by law, whichever is lower. Collection proceedings will be filed against a debtor/debtor's organization for any account 120 days past due.

In the event Client makes any requests for additional work beyond the scope of the Services set forth in the Proposal, BTB ENT LLC may amend the Fees or otherwise provide Client with a separate proposal for any additional work.

Clients will reimburse BTB ENT LLC for all expenses, as set forth in the invoice, proposal or as otherwise approved by Client in writing.

Client grants BTB ENT LLC the right to use the Client Materials for the purpose of providing services pursuant to their Agreement. Clients are solely responsible for the content, completeness and accuracy of all materials provided to BTB ENT LLC for the completion of the Services. In no event will BTB ENT LLC be liable for any inaccuracy, error, mistake or insufficiency resulting from our use of Client Materials.

“Confidential Information” means any information that Clients discloses or provides access (directly or indirectly) to BTB ENT LLC in any and all mediums (whether oral, written, graphic or in any other form including but not limited to texts, phone calls, video chats, social media direct messages, instant messages, emails and postal mail. Clients agree to take all reasonable precautions to protect and safeguard Confidential Information and will not disclose any Confidential Information except (1) to those of its consultants, attorneys or accountants who have a need to know the Confidential Information and are bound to confidentiality obligations similar to those set forth in this Agreement; or (2) if BTB ENT LLC is required to disclose the Confidential Information in connection with any judicial, governmental, or administrative proceedings or pursuant to applicable law.

All images, designs, documents, copy, audio, video products created during a work session or during the performance of tasks are exclusive intellectual property of Contractor. Client may not use images, designs or copy without formal written request and express permission from Contractor. Contractor reserves the right to deny requests for any reason. Contractor's intellectual property is protected by copyright and trademark laws. Theft or Plagiarism of Contractor's intellectual property may result in legal action. Violators will be prosecuted to the fullest extent of the law. Furthermore, you agree to allow the BTB ENT LLC to add our signature and/or watermark to your website and marketing materials.
